Dispute Resolution & Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall be resolved by binding arbitration under the rules of the Canadian Arbitration Association (or AAA for U.S. users).
Arbitration will occur in Montreal, Quebec, Canada, conducted in English, and the decision shall be final and binding.
You waive the right to participate in any class action, collective, or representative proceeding against Forward Media Marketing. Each party shall bear its own costs unless otherwise decided by the arbitrator.
Force Majeure
Forward Media Marketing shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, labor disputes, internet or hosting failures, or third-party service interruptions.
Non-Agency Relationship & Assignment
Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Forward Media Marketing. You may not assign your rights or obligations under these Terms without our prior written consent. Forward Media Marketing may assign its rights and obligations to any successor entity or acquirer without notice.
Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles.
Any dispute with a user located in the United States or abroad shall also be governed by these same laws and resolved exclusively in Montreal, Quebec, unless otherwise required by law.
Severability & Waiver
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining Terms will continue in full force.
No waiver by Forward Media Marketing of any term shall be deemed a continuing waiver or constitute a waiver of any other term or right.
Changes to Terms
Forward Media Marketing reserves the right, in its sole discretion, to modify these Terms at any time. Updated versions will be posted on this page, and the “Effective Date” below will reflect the latest revision. Continued use of the Site after such updates constitutes acceptance of the revised Terms.
